Terms of Service
These terms are an agreement between you and ThrivePay ("we", "us") about your use of Shout, a location-based social app. By creating an account or using Shout you agree to them, and to our Community Guidelines and Privacy Policy.
1. Who can use Shout
You must be at least 18 years old and located in the United States. You're responsible for your account and for keeping your password secret. One person, one account.
2. Your location
Shout places you in a city using your device's location, checked against other signals such as your IP address and device integrity. Your city decides which feed you post to and read. Don't spoof, fake or otherwise manipulate your location — accounts that do may lose access to posting or be suspended.
3. Your content
You own what you post. By posting you give us a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce and distribute it within Shout for as long as it's on the service, so we can operate the app — for example, showing your post in your city's feed or sending a Shout you paid for. Posts go to your city's feed; paid Shouts reach the city, state or country you choose. You can remove a post or reply within an hour of posting, and your content is removed when you delete your account.
4. Zero tolerance for objectionable content and abusive users
There is no tolerance on Shout for objectionable content or abusive behavior. Anything that breaks the Community Guidelines may be removed without notice, and accounts that post it may be suspended or banned. Every post, reply and direct message can be reported from the app, and any user can be blocked. We aim to review reports within 24 hours.
5. Paid features
- Shouts are one-time purchases that notify people in the area you choose. The app shows the price and an estimate of how many people it would notify before you pay. Only people with Shout notifications on, and who haven't already received 3 Shout notifications that day, get a push; everyone in reach sees the Shout pinned in their feed for 24 hours. We don't guarantee any number of views or responses. If your post is removed before your payment completes, or the Shout can't be delivered, we refund it.
- Memberships and city unlocks are monthly subscriptions that renew automatically at the price shown until you cancel. Cancel any time in the app under Profile → Manage subscriptions & billing; access continues until the end of the period you've paid for.
- Payments are processed by Stripe. Prices are in US dollars and include any applicable taxes shown at checkout. Except where the law requires otherwise, payments are non-refundable; if something went wrong, contact support@thrivepay.cloud and we'll look at it.
6. Things you may not do
- Break the law, or the Community Guidelines.
- Access Shout through automated means, scrape it, or interfere with its operation or security.
- Impersonate anyone, or misrepresent your location, identity or affiliation.
- Buy, sell or transfer accounts, or use Shout to send spam or unsolicited advertising.
7. Suspension and termination
You can delete your account at any time from the app (Profile → Delete account). We may suspend or end your access if you break these terms or the guidelines, or if we're required to by law. Sections that by their nature should survive termination (for example, 8–10) do.
8. Disclaimers
Shout is provided "as is" and "as available". Content is created by users, not by us, and we don't endorse it. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
9. Limitation of liability
To the fullest extent permitted by law, ThrivePay is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data. Our total liability for any claim relating to Shout is limited to the greater of the amount you paid us in the 12 months before the claim or US$50.
10. Governing law
These terms are governed by the laws of the State of Utah and applicable US federal law, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts located in Utah, unless the law where you live requires otherwise.
11. Changes
We may update these terms. If a change is material we'll tell you in the app before it takes effect. Continuing to use Shout after that means you accept the new terms.
